Worker's Compensation and Employer's Liability: Contractors are required
to comply with applicable Federal and State workers' compensation and
occupational disease statutes. If occupational diseases are not
compensable under those statues, they shall be covered under employer's
liability section of the insurance policy, except when contract operations
are so commingled with a Contractor's commercial operations that it would
not be practical to require this coverage. Employer's liability coverage
of at least $100,000 is hereby required.
(a) General Liability: Bodily injury liability insurance coverage
written on the comprehensive form of policy of at least $500,000 per
occurrence is hereby required.
(b) Automobile Liability: The Contractor shall submit proof of
automobile liability insurance written on the comprehensive form of policy.
The policy shall provide for bodily injury and property damage liability
covering the operation of all automobiles used in connection with
performing the contract. Coverage of at least $200,000 per person and
$500,000 per occurrence for bodily injury and $20,000 per occurrence for
property damage is hereby required. The amount of liability coverage on
other policies shall be commensurate with any legal requirement of the
locality and sufficient to meet normal and customary claims.
The amounts of liability coverage listed above are minimum amounts only.
The amount of coverage shall be commensurate with any staturory
requirements of the locality and sufficient to meet any normal and
customary claims.

52.0100-4081 CONTRACT MANAGEMENT (T-ASA) (JAN 00)
Notwithstanding the total management responsibility on the part of the
Contractor for his performance during this contract the administration of
the contract will require maximum coordination between the Government and
the Contractor. The following individuals will be the Governments' points
of contact during the performance of the contract:
a. Contracting Officer's Representative (COR). A COR will be designated
in writing by the Contracting Officer with specifically delegated authority
to monitor certain aspects of performance and assist in the administration
of the contract. The types of action within the purview of the COR's
authority are generally to assure that the Contractor performs the
requirements of the contract; to perform or cause to be performed
inspections necessary in connection with performance of the contract; to
monitor the Contractor's performance under the contract and notify the
Contracting Officer of any observed deficiencies; and if required to
provide for site entry of Contractor personnel. A letter of designation
will be issued to the COR with a copy supplied to the Contractor which
states the specific responsibilities and limitations of authority for the
COR. These limitations and responsibilities will be consistent with the
DFARS clause 252.201-7000 entitled "Contracting Officer's Representative."
This letter will clarify to all parties to this contract those specific
responsibilities and limitations of authority of the COR. This
letter will further clarify to all parties to this contract the
responsibilities which would result in a modification to the scope of work;
changes in cost or price totals or estimates; changes in delivery dates;
and changes in any other mutually agreed upon term or provision of the
contract.
b. Contracting Officer. All contract administration will be effected by
the Contracting Officer as identified in the clause in Section G, entitled
Contracting Officer. The Contracting Officer will generally rely upon the
Administrator identified in the clause in Section G, entitled
Administrator, to prepare any required correspondence or communicate with
the contractor on issues concerning the administration of the contract.
Contractor communications pertaining to contractual administrative matters
will be addressed to the Contracting Officer. Only the Contracting Officer
(not the COR or Administrator) have the authority to change the terms and
conditions of the contract.

52.0100-4089 EQUIPMENT MODIFICATION/SUBSTITUTION OTHER THAN
^^TECHNOLOGY ENHANCEMENT (T-ASA) (JAN 00)
a. Equipment alteration, modifications, or substitution,
resulting in any change to the OEM or Contractor model number, part number
or series will not be made on deliverable equipment until: (1) the
contractor has submitted a proposal to the Contracting Officer with
adequate supporting justification, and (2) an agreement between the
Contracting Officer and the Contractor is reached to effect such change and
authorized by written bilateral modification(s) to the contract. The
Government may allow equipment alterations, modifications, or
substitutions, when in the opinion of the Contracting Officer, it is in the
best interest of the Government to do so. The best interest of the
Government will ordinarily be interpreted in this instance to mean at least
equivalent performance at no additional cost to the Government. The
Contractor shall automatically update commercial manuals whenever any
changes to equipment are made.
b. The Contractor further warrants and guarantees that any
equipment substituted or modified in accordance with subparagraph a above
is at least equal to the replaced equipment in terms of performance and in
no way degrades any capability and/or performance of the system except as
may be mutually agreed to by the parties.
c. Should the contractor submit a proposal for equipment
modifications or substitutions the government shall either reject the
proposal or enter into negotiations within 90 calendar days of proposal
receipt.

AFRTS acknowledges that as to each Picture and the literary, dramatic
and musical material included in each Picture and upon which each is
based, BVI hereby expressly reserves any and all rights not herein
expressly granted to AFRTS, including, without limitation, all foreign
language rights except as specifically authorized in this Agreement,
the right to change the title of each Picture, the right to broadcast
or otherwise exploit film clips and authorize others to broadcast or
otherwise exploit film clips and trailers of each Picture, and the
right to produce documentaries based upon the production of each
Picture, all theatrical rights, all sound recording rights, all
subscription television rights, all pay television rights, all pay
cable television rights, all satellite broadcast rights, all
educational television rights (including without limitation
educational uses on closed circuit television, non-commercial
educational broadcast television stations and any public broadcast
stations), and all other rights to transmit, broadcast, or otherwise
exploit each Picture by any means now known or hereafter devised, in
perpetuity and throughout the universe in all media and so-called
subsidiary and substandard rights, i.e., airline rights, stage rights,
remake and sequel rights, the right to transmit, project, or exhibit
the visual portion of any Picture separate from the audible portion
thereof, or vice-versa, and all other non-theatrical rights not herein
granted, and that any such reserved rights may be exercised and
exploited by BVI concurrently with AFRTS freely and without limitation
or restriction whether or not deemed competitive to AFRTS or the
License granted hereunder. Nothing shall preclude BVI from
advertising, exploiting and promoting each Picture or parts thereof in
any manner, in any and all media now known or hereafter devised
including, without limitations, free television without any
obligations whatsoever to AFRTS. Nothing herein contained shall
abrogate or limit in any way BVI's subsidiaries' or agents' right in
the Exclusive Territory Licensed hereunder to engage in business
activities or endeavors of any kind or nature including, but not
limited to:
(a) merchandising activities;
(b) advertising campaigns;
(c) publishing activities; and
(d) the sale or licensing of BVI's designs, stories, characters,
trademarks, trade names, or other rights or properties.

Admission Charge: AFRTS shall not broadcast or authorize others to
broadcast any Picture into any place where an admission price is
charged or where reception of the broadcast by the public is made
subject to the payment of a viewing fee, subscription fee or any other
charge, however denominated or determined.
Other Broadcast: AFRTS shall not broadcast or authorize others to
broadcast any Picture over the facilities of any station or cable
system of any nature (including, without limitation, booster,
translator or repeater stations, satellite systems, cable television
systems, relay telecasts, pay cable systems, subscription television
systems, special education stations), other than AFRTS Station(s),
unless a specific right to do so is granted in writing by BVI
requiring additional payment to be made for such right or unless such
broadcasts only improve reception without increasing coverage.
Other Prohibited Acts: AFRTS shall not engage in any of the following
acts:
(1) sublicense or re-license any Picture licensed hereunder;
(2) distribute or exhibit or permit the distribution or exhibition of
any Picture or any part thereof outside the Exclusive Territory or
after the expiration of the License Term; and
(3) authorize any other party to do any of the acts forbidden in this
Agreement.

Usage Reports: AFRTS, at BVI's request, shall keep accurate and
complete books and records which shall be available for BVI's review
and for BVI to make copies thereof during regular business hours.
AFRTS, at the request of BVI, will furnish to BVI monthly written
reports showing the title, exact date and time of broadcast of each
Picture broadcast during the thirty (3) day term covered by each such
report. Each report shall be sent to: BVI, 350 South Buena Vista
Street, Burbank, CA 91521, with a copy of the Participation
Department at the same address.

52.0100-4105 LOSS/THEFT/DAMAGE OF TAPE(S) (T-ASA)(JAN 00)
All risks of loss of tape(s) in transit from AFRTS to BVI or while in
AFRTS possession or control shall be borne by AFRTS. Upon receipt by
AFRTS of such tape(s), AFRTS shall bear the risk of loss for the
tape(s) furnished or made available to AFRTS by BVI. For any tape(s)
lost, stolen, destroyed or damaged, AFRTS shall pay to BVI the costs
of the replacement of the tape(s), which shall include the materials
embodied thereon, no later than seven (7) days after receipt of an
invoice from BVI. It is hereby acknowledged that such payment shall
not give AFRTS any right, title or interest in or to said tape(s) or
the materials embodied thereon. AFRTS agrees to supply BVI with a
duly signed affidavit in the event any tape(s) are lost, stolen, or
destroyed. If any lost or stolen tape(s), or other materials are
subsequently recovered, AFRTS will immediately notify BVI to that
effect and follow BVI's instructions as to their disposition.

broadcasts or for any other AFRTS use or exhibitions of any Picture by
AFRTS.

promotional materials, stills, music and all other materials relating
to each Picture shall at all times remain in BVI, and title in and to
all or part of the negatives of each Picture and to the copyrights of
and intellectual property embodied in each Picture shall at all times
remain in BVI, subject only to the users granted herein. Possession
of any of the above by AFRTS shall be solely for the purpose of
exercising its rights hereunder. AFRTS shall not and agrees not to
impair BVI's title, interest or rights therein or to create a lien or

(c) An extension of the overall program license period by a number of

To aid the RTPO in the identification and control of audiovisual
submissions, the Contractor shall affix stick-on, removable labels to the
front of all videocassettes, audiocassettes, audiotape reels, and all
videocassette containers and reel-to-reel tape boxes delivered to the RTPO.
All labels shall contain the following information: (1) the RTPO project
number; (2) the name of the RTPO Project Officer; (3) a description of the
content; and (4) the date of submissions. Content shall be described using
one of the following specific phrases as appropriate: Casting On-Camera;
Casting TV Voice-Over; Casting Radio; Resubmitted Casting On-Camera;
Resubmitted Casting TV Voice-Over; Resubmitted Casting Radio; First POPs;
Second POPs; Final Edits; Resubmitted Final Edits; Second Resubmitted Final
Edits; Composite Submaster; Dub Composite Submaster. The date of
submission shall be the date the cassette or reel-to-reel tape is received
at the RTPO. The listing of other information such as product
identification numbers or titles is optional and may be included as space
permits on labels prepared for casting, POPs, and final edits submissions.
In addition to the standard labeling requirements listed above, all labels
for composite submasters shall include a listing of each topic. Labels for
submasters shall be affixed to the spine as well as the front of
videocassettes and videocassette containers and to reel-to-reel tape boxes.
It is not necessary to include the contract number on audiovisual labels.
